Welcome to CompoundTalk ("we," "us," "our," or the "Platform"). These Terms of Service ("Terms") govern your access to and use of the CompoundTalk website, forums, tools, resources, and all related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By registering for an account, posting content, or otherwise accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and Medical Disclaimer, all of which are incorporated herein by reference. We reserve the right to modify these Terms at any time. Continued use of the Services after any modifications constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or site notification.

2. Eligibility

You must be at least 18 years of age to use the Services. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. We do not knowingly collect information from or direct our Services to individuals under the age of 18.

3. Account Registration & Responsibilities

• You must provide accurate, current, and complete information during registration and keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
• You may not create more than one account per person. Duplicate accounts may be merged or terminated without notice.
• You may not share, sell, transfer, or assign your account to another person.
• We reserve the right to suspend or terminate any account that violates these Terms, at our sole discretion.

4. Content Guidelines

CompoundTalk is a community for discussion of GLP-1 receptor agonists, peptides, and related health topics. By posting content ("User Content"), you agree to the following:

4.1 Permitted Content

• Personal experiences with medications, treatments, and healthcare providers
• Questions and answers about health-related topics within our scope
• Reviews of vendors, pharmacies, and products based on genuine personal experience
• Discussion of clinical research and published scientific literature
• Sharing of educational resources and verified information

4.2 Prohibited Content

• Content that constitutes or promotes the practice of medicine without a license
• Direct sale, solicitation, or facilitation of prescription medications between members
• Content promoting illegal activities, including the purchase of controlled substances without a valid prescription
• Harassment, threats, bullying, hate speech, or personal attacks against other members
• Spam, commercial solicitation, or unsanctioned advertising
• Deliberately false or misleading health information presented as fact
• Personally identifiable information of third parties without their consent
• Content that infringes on intellectual property rights of any third party
• Malware, phishing links, or any content designed to compromise system security
• Impersonation of healthcare professionals, moderators, or other individuals

5. Medical Disclaimer

THE SERVICES AND ALL CONTENT PROVIDED THEREIN, INCLUDING BUT NOT LIMITED TO FORUM POSTS, GUIDES, CALCULATORS, AND REFERENCE MATERIALS, ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING ON THIS PLATFORM CONSTITUTES MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. NO DOCTOR-PATIENT RELATIONSHIP IS CREATED BETWEEN YOU AND COMPOUNDTALK, ITS OPERATORS, OR ITS MEMBERS.

6. Intellectual Property

6.1 Platform Content

All content created by CompoundTalk, including but not limited to the website design, logos, graphics, guides, tools, and editorial content, is the intellectual property of CompoundTalk and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our content without prior written permission.

6.2 User Content

You retain ownership of the content you post. However, by posting User Content on CompoundTalk, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Services. This license survives account termination.

6.3 DMCA Compliance

We respect the intellectual property rights of others. If you believe your copyrighted work has been infringed, please see our DMCA Policy for instructions on filing a takedown notice.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPOUNDTALK AND ITS OPERATORS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Services
• Any content posted by other users or third parties
• Any health decisions made based on information found on the Platform
• Unauthorized access to or alteration of your transmissions or data
• Any third-party conduct or content on the Services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless CompoundTalk, its operators, affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your User Content, or your violation of these Terms.

9. Dispute Resolution

9.1 Informal Resolution

Before filing any formal legal proceeding, you agree to attempt to resolve the dispute informally by contacting us at legal@compoundtalk.com. We will attempt to resolve the dispute within 30 days.

9.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Delaware, unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding.

9.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate in class actions or class-wide arbitration.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice through the Services (e.g., a banner notification) and/or via email to registered users at least 14 days before the changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes acceptance. If you disagree with the revised Terms, your sole remedy is to discontinue use of the Services.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

12. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, DMCA Policy, and Medical Disclaimer, constitute the entire agreement between you and CompoundTalk regarding the Services and supersede all prior agreements and understandings.
